If the original organization becomes a for-profit entity, a conversion typically necessitates that the for-profit pays fair market value for the assets to another charitable organization.

Even if the nonprofit OpenAI continues to operate in some form, some experts assert that it would need to be compensated fair market value for any assets transferred to its for-profit subsidiaries.

In OpenAI’s case, several questions arise: What assets are owned by the nonprofit? What is the valuation of those assets?

Do those assets include intellectual property, patents, commercial products, and licenses? Furthermore, what is the value of relinquishing control over the for-profit subsidiaries?

If OpenAI were to reduce the control its nonprofit has over its other business entities, a regulator might require clarification on those matters.

Any alteration to OpenAI’s structure will necessitate compliance with the laws governing tax-exempt organizations.

Andrew Steinberg, a counsel at Venable LLP and a member of the American Bar Association’s nonprofit organizations committee, remarked that it would be an “extraordinary” measure to modify the structure of corporate subsidiaries of a tax-exempt nonprofit.

“It would involve a complex and detailed process with numerous legal and regulatory factors to consider,” he added. “However, it is not impossible.”

Is OpenAI fulfilling its charitable objective?

To obtain tax-exempt status, OpenAI had to submit an application to the IRS outlining its charitable purpose.

OpenAI shared with The Associated Press a copy of that September 2016 application, which illustrates how drastically the group’s plans for its technology and framework have altered.

OpenAI spokesperson Liz Bourgeois stated in an email that the organization’s missions and objectives have remained steady, even though the methods of achieving that mission have evolved alongside technological advancements.

When OpenAI incorporated as a nonprofit in Delaware, it specified that its purpose was “to provide funding for research, development, and distribution of technology related to artificial intelligence.”

In its tax filings, it also described its mission as creating “general-purpose artificial intelligence (AI) that safely benefits humanity, unconstrained by a need to generate financial return.”

Steinberg indicated that the organization can change its plans as long as it accurately reports that information on its annual tax filings, which it has done.

Some observers, including Elon Musk, a former board member and early supporter of OpenAI who has also filed a lawsuit against the organization, express doubts about its commitment to its original mission.

Geoffrey Hinton, known as the “godfather of AI” and a co-recipient of the Nobel Prize in physics on Tuesday, has voiced concerns regarding the transformation of OpenAI, proudly mentioning that one of his past students, Ilya Sutskever, who co-founded the organization, played a role in Altman’s removal as CEO before his reinstatement.

“OpenAI was established with a strong focus on safety. Its main goal was to create artificial general intelligence while ensuring its safety,” Hinton noted, adding that “over time, it became clear that Sam Altman prioritized profits over safety, which I find regrettable.”

Sutskever, who previously led OpenAI’s AI safety team, departed from the organization in May and has launched his own AI venture. OpenAI, on its side, takes pride in its safety accomplishments.

Will OpenAI’s board members manage to prevent conflicts of interest?

This question ultimately pertains to the board of OpenAI’s nonprofit and to what degree it is working to advance the organization’s charitable goals.

Steinberg indicated that regulators assessing a nonprofit board’s decision will mainly focus on how the board reached that decision rather than whether the conclusion itself was optimal.

He explained that regulators “typically honor the business judgment of board members as long as the transactions don’t involve conflicts of interest for any of them and they do not have a financial stake in the transaction.”

The possibility of any board members benefiting financially from alterations to OpenAI’s structure could also draw the attention of nonprofit regulators.

Regarding inquiries about whether Altman might receive equity in the for-profit subsidiary during any potential restructuring, OpenAI board chair Taylor stated, “The board has discussed whether offering Sam equity could be beneficial to the company and our mission, but specific figures have not been addressed, and no decisions have been made.”

AI search tool mimics some features of a traditional search engine but with a more conversational approach

OpenAI has incorporated a search engine into its chatbot ChatGPT, enabling users to access current information regarding news, sports, and weather.

This move marks the AI company’s first direct challenge to Google’s dominance in search, which was first announced in May.

The new feature will initially be available to paying subscribers, yet OpenAI noted that it will also be accessible to free ChatGPT users in the future.

The initial iteration of ChatGPT, launched in 2022, was trained on vast amounts of online text but was unable to answer questions about recent events outside its training data.

In May, Google revamped its search engine, frequently featuring AI-generated summaries at the top of search results. These summaries aim to rapidly respond to user queries, potentially reducing the need for users to visit additional websites for further information.

Google’s redesign followed a year of testing with a limited user group, but it still generated inaccurate results, highlighting the risks of relying on AI chatbots that can produce errors, often referred to as hallucinations.

As part of OpenAI’s strategy to deliver current information, the company has collaborated with several news and data organizations, which will see their content included in results, complete with links to original sources, thereby mimicking the experience of a traditional search engine.

OpenAI’s advanced voice feature is now accessible in Europe. Here’s what it allows you to do.

The creator of ChatGPT faced controversy after one of its voice options was similar to that of actress Scarlett Johansson in the 2013 film “Her.”

On Tuesday, OpenAI announced that its Advanced Voice function is available in Europe, following a launch delay that may have been linked to regulatory requirements in the region.

The Advanced Voice Mode was introduced in May and offers users the ability to communicate with the large language model (LLM) using their voice, meaning you can speak to ChatGPT via your mobile device, laptop, or PC microphone.

Although the voice mode was launched in the United Kingdom earlier this month, it only reached the European continent now, possibly due to concerns surrounding Europe’s General Data Protection Regulation (GDPR), which mandates that certain products undergo review by the EU data commissioner prior to launch.

“Europe is an important market for us, and we are dedicated to collaborating with European institutions to provide our products here,” an OpenAI spokesperson stated to Euronews Next earlier this month.

OpenAI confirmed the tool’s availability in Europe in response to a query on the social media platform X, which inquired about its European rollout.

“Indeed, all Plus users in the EU, Switzerland, Iceland, Norway, and Liechtenstein now have access to Advanced Voice,” OpenAI remarked in a post.

The Advanced Voice feature was made accessible to OpenAI Plus subscribers last night but is still unavailable for users with free accounts.

Advanced Voice gained attention when it was revealed that a voice named Sky closely resembled that of actress Scarlett Johansson in the film “Her.”

Johansson’s legal team sent OpenAI letters asserting that the company lacked the authorization to use the voice. Consequently, OpenAI has temporarily halted the use of the Sky voice.

Users have the option to request the AI to modify its accent, for instance, asking for a southern accent if they dislike the current sound.

It is also interactive, enabling users to instruct it to speed up or slow down, and it will respond if interrupted.

ChatGPT’s Advanced Voice Mode launched in the UK this week but has not yet been introduced in the European Union. While there have been rumors of a “ban,” it’s believed that OpenAI may have delayed the feature due to concerns that its emotion-detection capabilities might contravene the EU’s AI act, which is the first significant legislation of its kind regarding AI.

The Advanced Voice Mode (which facilitates “live” conversations where the chatbot behaves more like a human) can interpret non-verbal signals like speech pace to provide an emotional response. The EU’s AI Act bans “the use of AI systems to infer the emotions of a natural person.”

However, how likely is it that such regulations will inhibit innovation? And what type of regulation is considered “right” for businesses to engage with AI? The Stack consulted experts to explore these questions.

It remains uncertain whether Advanced Voice Mode would indeed be banned under these regulations, suggesting that OpenAI might be exercising caution, according to Curtis Wilson, a staff data scientist at app security firm Synopsys Software Integrity Group.

Wilson explains that similar “careful” responses were observable in the years following the implementation of the General Data Protection Regulation (GDPR).

Wilson states: “It’s ambiguous if the EU AI Act actually prohibits Advanced Voice Mode at all. The aspect most frequently referenced is Article 5, especially paragraph 1f, which forbids systems from inferring emotions. However, this paragraph specifies ‘in the areas of workplace and educational institutions,’ and the associated recital clarifies that the concern is about poorly calibrated systems causing discrimination against minority groups when the model misreads their emotions.”

Companies will likely avoid being the “guinea pig” and risk breaching such regulations, potentially opening up opportunities for businesses focused on compliance as more such regulations arise globally, according to Wilson.

“One major directional shift I foresee with the influx of global regulations in the coming years is the emergence of a robust AI regulatory compliance sector to assist companies in navigating a complex global AI oversight environment.”

Wilson feels that the core issue has been the ambiguity, which holds significant lessons for future regulations.

He mentions: “Clarity is forthcoming; Article 96 mandates that the Commission provide guidelines for practical enforcement by August 2026—18 months after the rules on prohibited systems actually take effect. These guidelines should have been established beforehand.

“Developers need to be informed about what is and isn’t covered by the regulation—ideally without needing to hire external companies or legal firms. This is why I hope to see more clear, concise, and accurate guidelines (that are updated over time to keep pace with evolving technologies) in the future.”

Compliance in the era of Generative AI

This case exemplifies one of the principal challenges that global companies will confront in the age of AI, according to Luke Dash, CEO of compliance firm ISMS.online.

As more regulations concerning AI are implemented, businesses will encounter difficulties if these regulations lack uniformity across various regions.

Dash states: “Divergent regulations among different areas will obstruct AI deployment and complicate compliance for organizations operating outside these locations. This fragmentation will compel companies to formulate region-specific strategies, which could potentially hinder global advancements while also increasing the risk of non-compliance and inconsistent execution.

“Upcoming regulations should aim to harmonize international standards to establish a more cohesive landscape.”

While regulations are frequently perceived as obstacles to growth, Dr. Kimberley Hardcastle, Assistant Professor at Northumbria University, argues that in the context of AI, regulation will be vital for encouraging acceptance of the technology.

Consequently, regulation will play a key role in embedding AI within enterprises and society as a whole, she asserts.

“Research findings, including those from the European Commission, show that effectively structured regulations not only address risks linked to bias and discrimination in AI but also promote economic growth by establishing a level playing field for innovation,” Dr. Hardcastle explains. “Thus, a solid regulatory framework is not simply an impediment, but rather a catalyst that can encourage sustainable and fair AI adoption.”

Dr. Hardcastle contends that due to its rapid evolution, AI may necessitate a new form of regulation capable of adapting to emerging challenges with “real-time adjustments.”

Regulators also need to take lessons learned from the era of social media into account, she emphasizes.

She remarks, “The advancement of generative AI mirrors the initial growth of the social media sector, where swift innovation frequently outstripped regulatory responses, resulting in considerable societal impacts.

“Similarly, the current generative AI landscape showcases a competitive atmosphere among firms striving to achieve artificial general intelligence, often at the cost of responsible development and ethical standards. This trend raises pressing concerns regarding potential harms, such as biases in AI outputs and misuse of technology.

“To avoid repeating past mistakes, it is essential to draw lessons from the social media experience, and stakeholders must establish proactive regulatory frameworks that emphasize safety and ethics, so that the quest for technological progress does not jeopardize societal well-being.”
